1. Introduction and Acceptance

These Terms of Use ("Agreement") constitute a legally binding agreement between you ("User", "you", or "your") and GhostMeet ("we", "our", or "the Company") regarding your use of the GhostMeet mobile application ("App").

By downloading, installing, or using the App, you agree to be bound by this Agreement. If you do not agree to these terms, do not use the App.

This Agreement is between you and GhostMeet only, and not with Apple Inc. ("Apple"), Google LLC, or any other app distribution platform. GhostMeet, not Apple or Google, is solely responsible for the App and its content.

2. License Grant

Subject to your compliance with this Agreement, GhostMeet grants you a limited, non-exclusive, non-transferable, revocable license to:

• Download and install the App on devices you own or control

• Use the App for personal, non-commercial purposes in accordance with this Agreement and applicable laws

This license does NOT permit you to:

• Copy, modify, distribute, sell, or lease any part of the App

• Reverse engineer, decompile, or attempt to extract the source code of the App

• Use the App for any unlawful or prohibited purpose

• Remove or alter any proprietary notices from the App

This license is limited to use on Apple-branded products that run iOS (such as iPhone and iPad) and as permitted by the Usage Rules set forth in the Apple App Store Terms of Service.

3. User Accounts and Subscriptions

3.1 Account Registration

To use certain features of the App, you must create an account by providing accurate and complete information, including a valid email address.

3.2 Subscription Plans

GhostMeet offers subscription-based access to premium features. By subscribing, you agree to:

• Pay the subscription fees as specified in the App

• Automatic renewal of your subscription unless canceled before the renewal date

• Subscription management through your Apple App Store or Google Play Store account

3.3 Payment and Billing

• All payments are processed through Apple App Store or Google Play Store

• Subscription fees are charged to your iTunes Account or Google Play account upon confirmation of purchase

• Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period

3.4 Cancellation and Refunds

• You can cancel your subscription at any time through your App Store or Google Play account settings

• Refund policies are governed by Apple App Store or Google Play Store policies

• No refunds will be provided for partial subscription periods

4. Acceptable Use

You agree to use the App only for lawful purposes and in compliance with this Agreement.

You agree NOT to:

• Record conversations without obtaining proper consent as required by applicable law

• Use the App to violate any local, state, national, or international law

• Upload, transmit, or distribute any content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable

• Attempt to gain unauthorized access to the App's systems or networks

• Interfere with or disrupt the App's functionality or servers

• Use the App to infringe on intellectual property rights of others

• Share your account credentials with others

5. Recording Consent and Legal Compliance

IMPORTANT LEGAL NOTICE:

You are solely responsible for complying with all applicable laws regarding recording conversations in your jurisdiction. Many countries, states, and regions require:

• One-party consent (where you must be a participant in the conversation)

• Two-party or all-party consent (where all participants must consent to being recorded)

By using the App, you represent and warrant that:

• You have obtained all necessary consents from participants before recording any conversation

• You will comply with all applicable recording laws

• You will not use the App for any illegal recording purposes

GhostMeet assumes no liability for your failure to obtain proper consent or comply with applicable laws.

6. Audio Processing and AI Services

6.1 Temporary Upload for Transcription

When you record audio through the App:

• Audio files are temporarily uploaded to secure servers for transcription processing

• We use third-party AI services (Assembly AI, OpenAI) to process your recordings

• Audio files are deleted from servers after transcription is completed

6.2 Accuracy Disclaimer

GhostMeet does not guarantee 100% accuracy of transcriptions or AI-generated summaries. Transcription errors may occur due to:

• Audio quality issues

• Accents, dialects, or speech patterns

• Background noise or multiple speakers

• Technical limitations of AI technology

You should review all transcriptions for accuracy before relying on them for important purposes.

7. Intellectual Property Rights

7.1 Our Rights

The App and all content, features, and functionality (including but not limited to software, text, graphics, logos, and user interface) are owned by GhostMeet and are protected by copyright, trademark, patent, and other intellectual property laws.

7.2 Your Content

You retain all ownership rights to the audio recordings and content you create using the App. However, by using the App, you grant GhostMeet a limited license to:

• Process your recordings through our AI services for transcription purposes

• Store metadata necessary to provide App functionality

• Use anonymized, aggregated data to improve the App's performance and features

We do not claim ownership of your recordings or transcriptions.

8. Data Privacy

Your use of the App is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the App, you consent to our data practices as described in our Privacy Policy, available at [insert Privacy Policy URL].

• Audio recordings are stored locally on your device

9. Termination

• Contacting us to request account deletion

9.2 Termination by Us

We may suspend or terminate your access to the App immediately, without notice, if:

• You violate this Agreement

• You engage in fraudulent or illegal activity

• Required by law or court order

• We cease operations of the App

9.3 Effects of Termination

Upon termination:

• Your right to use the App will immediately cease

• Data stored on our servers will be deleted within 30 days

• Local recordings on your device will remain unless you delete the App

10. Disclaimers and Warranties

10.1 "AS IS" Basis

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement

• Warranties that the App will be uninterrupted, error-free, or secure

• Warranties regarding the accuracy or completeness of transcriptions

10.2 No Guarantee of Service

We do not guarantee that:

• The App will meet your specific requirements

• The App will be available at all times

• Defects will be corrected

• The App is free from viruses or harmful components

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

GhostMeet, its officers, directors, employees, and agents shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages

• Loss of profits, revenue, data, or use

• Personal injury or property damage resulting from your use of the App

• Any claim arising from your failure to obtain proper recording consent

Our total liability shall not exceed the amount you paid for the App in the 12 months preceding the claim, or $100 USD, whichever is less.

12. Indemnification

You agree to indemnify, defend, and hold harmless GhostMeet and its affiliates from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the App

• Your violation of this Agreement

• Your violation of any laws or third-party rights

• Your failure to obtain proper recording consent

13. Third-Party Services

The App integrates with third-party services, including:

• Apple App Store / Google Play Store (for distribution and payments)

• Assembly AI (for transcription services)

• OpenAI (for AI analysis)

• RevenueCat (for subscription management)

Your use of these third-party services is subject to their respective terms and policies. We are not responsible for the actions or policies of third parties.

14. Maintenance and Support

GhostMeet is solely responsible for providing maintenance and support services for the App. Apple and Google have no obligation to provide support.

15. Product Claims and Compliance

• GhostMeet, not Apple or Google, is responsible for addressing any claims relating to the App or your use of it

16. Changes to Terms

We may update this Agreement from time to time. We will notify you of significant changes by:

• Updating the "Last Updated" date at the top of this Agreement

Your continued use of the App after changes are made constitutes acceptance of the updated Agreement.

17. Governing Law and Dispute Resolution

17.1 Governing Law

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
